Welcome to CFIC.ai, operated by Crowd Funding International Corp ("CFIC", “we” or “us”),. These Terms of Use (the "Terms of Use") constitute a contract between you and CFIC which governs all transactions between you and CFIC, your use of the CFIC.ai website, and all related services provided by CFIC (the "Services"). By using the CFIC website (the “Website”), you acknowledge that you have reviewed and agree to all of the terms and conditions in, and linked to, these Terms of Use, including the Privacy Policy. Please do not use the CFIC Website if you do not agree to these Terms of Use.
WEBSITE ACCESS
Website access is granted on a temporary basis, and CFIC reserves the right to modify or withdraw the Services we provide without notice. Should the Website be unavailable at any time or for any period, we assume no liability. We may periodically limit your access to some or all sections of the Website.
All arrangements necessary for you to have access to the Website are your exclusive responsibility. In addition, you are responsible for making sure that all individuals who access the CFIC Website through your internet connection are informed of, and abide by, these terms.
CFIC.ai & YOUR CFIC USER PROFILE
About CFIC
The Website is operated by CFIC as a crowd-funding platform that enables Funders to make commitments to fund listed businesses, including start-ups. Entrepreneurs and listed businesses post disclosure documents on the Website, for the consideration of potential Funders. The Website facilitates these transactions, and aids Funders in monitoring their funding transaction history. If a business listing is successful in achieving its funding goal in accordance with its terms, funding payments are transferred directly into CFIC’s trust account for disbursement to the applicable entrepreneur.
Regarding Your CFIC USER PROFILE
You create a CFIC USER PROFILE (“User Profile”) when you register on the Website, which permits you to access the Website and utilize the Services. By registering and opening this User Profile, you affirm that you are either: (i) an individual and shall use the Services on your own behalf; or (ii) a person authorized to use the Services on behalf of a corporation or other entity.
Eligibility
You must be at least 18 years old to be eligible to use these Services. Currently, these Services cannot be utilized by US persons (defined as citizens or residents of the U.S., any corporation, partnership or other entity created or organized in or under the laws of the U.S. or any person falling within the definition of the term “U.S. Person” under Regulation S adopted by the Securities and Exchange Commission of the U.S. on 24th April 1990, as amended from time to time). All services and products referred to on the Website are intended to be offered only to non–US persons, and are only available in jurisdictions where said services or products can lawfully be offered. You affirm that you have all necessary authority to access and utilize the Services covered under these Terms of Use. The Website will not be considered an offering of, or solicitation for, any funding product or service to any individual in any jurisdiction where such offering or solicitation is illegal.
Your Information
You certify that the information you give us throughout the CFIC registration process is accurate, truthful, current, and complete, and that you will update this information promptly to ensure that its completeness and accuracy is upheld. You are responsible for preserving the confidentiality of any User Profile information you use to access any element on the Website, and also for logging off from your User Profile and any protected sections of the Website. All activities transpiring in connection with your User Profile which result from your failure to maintain or utilize appropriate security measures are your responsibility entirely. Should you become aware of any suspicious or unauthorized activity in connection with your User Profile, you agree to contact CFIC immediately. CFIC shall not be liable for any damage or loss resulting from your failure to notify us of such activity immediately.
Verification
We are required by anti-money laundering regulations to record and verify information that identifies individuals, entities or corporations applying to create User Profiles with us. You agree to submit all information or documentation necessary to CFIC that allows us or agents acting on our behalf to execute Know Your Client checks on you. Any requisite data that you submit to CFIC may be subject to verification, including through the sharing of this information with third parties for this specific purpose. Should CFIC be unable to verify the necessary information, your User Profile may be rejected, limited or closed.
Privacy
We may request certain information in order to activate your User Profile, which permits us to abide by certain rules and regulations regarding appropriateness of Fundings, anti-money laundering, and similar things. You may access and change the information you submit to CFIC and choose not to receive certain communications by logging in to your CFIC User Profile. Please see our Privacy Policy to view a comprehensive description of how we safeguard and utilize and protect your personal information.
User Profile Closure
You may ask CFIC to close your User Profile and remove it from the CFIC website by emailing info@cfic.ai. User Profile closure shall not affect any commitments that you have made regarding Fundings, or any business listings that you have posted on our Website, and the terms and conditions applicable to those commitments or listings will continue to be in effect.
U.S. and UN Economic Sanctions
You affirm that you, or the organization for which you are acting as an authorized person, have not been designated by the U.S. Department of Treasury's Office of Foreign Assets Control ("OFAC") or the United Nations (“UN”) as a Specially Designated National or Blocked Person, you have no reason to believe that you would be considered a Blocked Person by OFAC or the UN, and you do not reside in a country that is subject to OFAC or UN sanctions. You also represent that, to the best of your knowledge, you are not employed by or acting as agent of any government, government-controlled entity or government corporation restricted under OFAC or the UN sanctions regimes. You understand that if your application violates OFAC or UN sanctions guidelines, your User Profile may be declined or restricted from certain activity.
INTELLECTUAL PROPERTY RIGHTS
CFIC is the owner or the licensee of all intellectual property rights in the Website, and in the material published on it. These works are protected by copyright laws and treaties internationally. All such rights are reserved. Unless explicitly approved by CFIC to do so, you are not permitted to download or print copies of any extracts from any section of the Website. Should you download, print off, or copy any part of our Website in breach of these Terms of Use, your right to use the Website will be terminated immediately and you must, at our option, destroy or return any and all copies you have made of the materials.
RELIANCE ON INFORMATION POSTED
Materials posted on the Website, including comments, are not intended to represent financial, tax, or legal advice. CFIC is not responsible or liable for any credence placed on such materials by you or by anyone you may advise of any of its contents.
CHANGES TO THE WEBSITE

By completing a CFIC User Profile online application, you are giving your valid consent to these Terms of Use and all other documents regulating your relationship with CFIC. The use of an electronic version of the User Profile documents entirely fulfils any requirement that the documents be provided to you and/or signed in writing, and the electronic version of these Terms of Use and any other agreement is considered to be the complete, true and enforceable record of our agreement, admissible in administrative or judicial proceedings to the same extent as if the records and documents were originally generated and maintained in printed form. You are solely responsible for reading and understanding all of the terms and conditions of these documents, and you accept as reasonable and proper notice, for the purpose of any laws, rules and regulations, notice by electronic means. You can access and keep a record of the documents you electronically sign through CFIC.ai.
Electronic Delivery of Documents
You agree that CFIC will provide you with an electronic copy of all communications and documents related to your User Profile funding activities, for example, commitment confirmations and closing confirmations. CFIC will send a notice to the email address you have submitted when documents related to your User Profile funding activities are available, and at any time thereafter, you can review the documents by logging into your User Profile at CFIC.ai.
USER RESTRICTIONS

In relation to your use of the Website, your User Profile or the Services, or in the course of your interactions with CFIC, you affirm that you will not:

User Liability

Actions We May Take

Whether we elect to take any of the aforementioned actions, remove content, or refuse to provide Services, CFIC does not monitor the Website, and you acknowledge that we will not be subject to liability for such monitoring.
Restriction or Suspension of User Profile
In its sole discretion, CFIC reserves the right to terminate access to the Website or the Services, or to terminate these Terms of Use. In addition, CFIC reserves the right to suspend or place restrictions on you’re your User Profile for any reason and at any time upon notice to you. User Profile restrictions may include a restriction on the dollar amount of transactions we will accept from your User Profile. Should your User Profile be suspended, you will not have the ability to list businesses or make commitments, and we will not issue any payments to you. Should CFIC suspend or place restrictions on your User Profile, we will send you a notice and give you the opportunity to request reconsideration, if appropriate.
NO WARRANTY
General
CFIC and our employees, agents, affiliates and suppliers provide the Services "as is" and without any warranty or condition, express, implied or statutory. CFIC and our employees, agents, affiliates and suppliers specifically disclaim any implied warranty of title, merchantability, fitness for a particular purpose and non-infringement. CFIC does not guarantee secure, continuous or uninterrupted access to our Services, and operation of our Website may be interfered with by many factors outside of our control. In a jurisdiction which prohibits the disclaimer of implied warranties, the disclaimers provided in this Section may not apply to you. This Section gives you specific legal rights, and you may have additional legal rights that vary by jurisdiction.
Third Party Data
To the fullest extent permitted under applicable law, CFIC makes no warranty or representation, express or implied, regarding any third party information provided to CFIC or its transmission, timeliness, accuracy or completeness, including but not limited to implied warranties or warranties of merchantability or fitness for a particular purpose. CFIC will not be liable in any way to you or to any other person for any error, inaccuracy or delay in or omission of any third party data, or the delivery or transmission of any such third party data and any loss or damage arising from:
(i) any such error, inaccuracy, omission, or delay,
(ii) third-party non-performance, or
(iii) interruption in any such third party data due either to any negligent act or omission by CFIC or "force majeure" or any other cause beyond CFIC’s reasonable control.
Processing of Payments
CFIC will make reasonable efforts to make certain that requests for electronic debits and credits involving bank accounts are processed in a timely manner. However, CFIC makes no representations or warranties regarding the amount of time needed to complete processing because our Services are dependent upon many factors outside of our control, such as delays in the banking system.
INDEMNIFICATION
You agree to defend, indemnify and hold CFIC and its officers, directors, agents and employees harmless from any claim or demand (including attorneys' fees) made or incurred by any third party due to or arising out of your breach of these Terms of Use and/or your use of the Services.
INTELLECTUAL PROPERTY RIGHTS
"CFIC.ai" and "CFIC" are trade names and trademarks of Crowd Funding International. All logos, page headers, icons and graphics are protected to the extent permitted under applicable laws. All other brands and designated trademarks are the property of their respective owners. You are not permitted to imitate, copy, or use any of CFIC’s intellectual property without our prior authorization in writing.
REPORTING INTELLECTUAL PROPERTY INFRINGEMENT
CFIC respects the intellectual property of others. You are not permitted to post any content that infringes on the rights of third parties, including but not limited to intellectual property rights such as trademark, copyright and right of publicity. CFIC reserves the right to remove any content for which we have any reason to suspect a violation of these terms, our policies or any party's rights. GOVERNING LAW AND DISPUTES
The CFIC Terms of Use are governed in every respect by the laws of Anguilla, without regard to conflict of law provisions. You agree that any dispute or claim you may have against CFIC are required to be resolved in the courts of Anguilla, although CFIC reserves the right to bring proceedings against you for the breach of these Terms of Use in your country of residence or any other relevant country.

USER RESTRICTIONS
Prohibited Activities
In relation to your use of the Website, your User Profile or the Services, or in the course of your interactions with CFIC, you affirm that you will not:
- Violate any regulation, law, statute, or ordinance.
- Submit false, inaccurate or misleading Information.
- Breach these Terms of Use or any other agreement into which you have entered with CFIC (including any CFIC policies).
- Infringe CFIC’s or any third party's patent, trademark, copyright, trade secret or other intellectual property rights, or rights of publicity or privacy.
- Behave in any way that is trade libelous, defamatory, unlawfully harassing or unlawfully threatening.
- Post comments that are false, inaccurate, misleading, defamatory, or contain libelous content.
- Post comments containing personal information, including without limitation, last names, telephone numbers, and street addresses.
- Pay for your transactions with fraudulent funds or with what we reasonably believe to be potentially fraudulent funds.
- Refuse to cooperate in an investigation or provide confirmation of your identity or any information you provide to us.
- Utilize an anonymizing proxy.
- Use the Services in a way that results in or could result in disputes, complaints, claims, fines, fees, penalties or any other liability to CFIC or to you.
- Control a User Profile that is linked to another User Profile that has engaged in any of these restricted activities. We may use evidence other than the User Profile information to assess whether you control a User Profile in another person’s name, including but not limited to IP addresses, common business names, telephone numbers, and mailing addresses.
Access and Interference
A considerable amount of the information on our Website is updated on a real-time basis and is proprietary or is licensed to CFIC by third parties. You affirm that you will not:
- Utilize any scraper, robot, spider or other automated means to access the Website for any purpose without our explicit authorization in writing.
- Endeavor to obtain unauthorized access to any part of this website, or to any other protected materials or information, through any means not intentionally made available to you by CFIC.
- Undertake any action that may impose, in our sole judgment, an unreasonable or disproportionately large load on our infrastructure.
- Modify, copy, reproduce, create derivative works from, distribute, or publicly display any content from the Website without the advance expressed authorization in writing from CFIC and the appropriate third party, as applicable.
- Enable any Trojan horses, viruses, worms or other computer programming routines that may destructively interfere with, damage, or covertly intercept or expropriate any system, information or data.
- Interfere, or endeavor to interfere, with the correct functioning of the Website or any activities conducted on the Website.
- Utilize any software, device or routine to circumvent our robot exclusion headers or other measures we may use to restrict or prevent Website access.
- Act in any manner that may cause CFIC to lose any of the services of our internet service providers, payment processors, or other suppliers.
YOUR LIABILITY AND ACTIONS WE MAY TAKE
User Liability

Whether we elect to take any of the aforementioned actions, remove content, or refuse to provide Services, CFIC does not monitor the Website, and you acknowledge that we will not be subject to liability for such monitoring.

CFIC will not be liable in any way to you or to any other person for any error, inaccuracy or delay in or omission of any third party data, or the delivery or transmission of any such third party data and any loss or damage arising from:
(i) any such error, inaccuracy, omission, or delay,
(ii) third-party non-performance, or
(iii) interruption in any such third party data due either to any negligent act or omission by CFIC or "force majeure" or any other cause beyond CFIC’s reasonable control.
Processing of Payments
CFIC will make reasonable efforts to make certain that requests for electronic debits and credits involving bank accounts are processed in a timely manner. However, CFIC makes no representations or warranties regarding the amount of time needed to complete processing because our Services are dependent upon many factors outside of our control, such as delays in the banking system.
INDEMNIFICATION
You agree to defend, indemnify and hold CFIC and its officers, directors, agents and employees harmless from any claim or demand (including attorneys' fees) made or incurred by any third party due to or arising out of your breach of these Terms of Use and/or your use of the Services.

"CFIC.ai" and "CFIC" are trade names and trademarks of Crowd Funding International. All logos, page headers, icons and graphics are protected to the extent permitted under applicable laws. All other brands and designated trademarks are the property of their respective owners. You are not permitted to imitate, copy, or use any of CFIC’s intellectual property without our prior authorization in writing.
REPORTING INTELLECTUAL PROPERTY INFRINGEMENT
CFIC respects the intellectual property of others. You are not permitted to post any content that infringes on the rights of third parties, including but not limited to intellectual property rights such as trademark, copyright and right of publicity. CFIC reserves the right to remove any content for which we have any reason to suspect a violation of these terms, our policies or any party's rights. GOVERNING LAW AND DISPUTES
The CFIC Terms of Use are governed in every respect by the laws of Anguilla, without regard to conflict of law provisions. You agree that any dispute or claim you may have against CFIC are required to be resolved in the courts of Anguilla, although CFIC reserves the right to bring proceedings against you for the breach of these Terms of Use in your country of residence or any other relevant country.
